TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing or using Signalised (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is owned and operated by AMcC London Limited ("we", "us", or "our"), 128 City Road, London, EC1V 2NX.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use the Service.

2. THE SERVICE

Signalised provides music intelligence, artist estate auditing, and AI-driven strategic recommendations. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

Beta Status: You acknowledge that parts of the Service may be in "Beta" and provided "as-is", potentially containing bugs or inaccuracies.
AI Strategy: Recommendations generated by the "AI Strategist" are for advisory purposes only. We make no guarantees regarding financial outcomes or career success based on these suggestions.

3. ACCOUNTS & SECURITY

To access certain features, you must create an account. You agree to:

Provide accurate and complete information.
Maintain the security of your login credentials.
Notify us immediately of any unauthorised use.
Not share your account with third parties.

We reserve the right to terminate accounts that violate these Terms or show signs of abuse (e.g., scripted scraping).

4. SUBSCRIPTIONS & PAYMENTS

Fees: Paid tiers (e.g., Artist, Pro, Enterprise) are billed in advance on a recurring monthly or annual basis. All prices are in GBP (£) unless otherwise stated.
Billing: We use Stripe for payment processing. By subscribing, you authorise us to charge your payment method for the recurring fees and any applicable taxes (VAT).
Cancellation: You may cancel your subscription at any time via the billing portal. Cancellation takes effect at the end of the current billing cycle. No refunds are provided for partial months.
Non-Payment: If payment fails, we may suspend your access to paid features until your balance is cleared.

5. USAGE RIGHTS & DATA

5.1 Public Data Access: Signalised gather data from public APIs (Spotify, YouTube, etc.). Your use of the Service must comply with the terms of these third-party platforms.

5.2 Intellectual Property: We own all rights, title, and interest in the Signalised platform, including its code, design, and proprietary algorithms. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your professional music business purposes.

5.3 Your Input Data: You retain ownership of any data you input. By using the Service, you grant us a licence to process this data to generate your reports and improve our algorithms (on an anonymised basis).

6. PROHIBITED CONDUCT

You agree not to:

Reverse-engineer or decompile any part of the Service.
Use automated bots or scrapers to access the Service beyond the provided UI/API.
Use the Service for any illegal purpose or to infringe on the IP of others.
Input defamatory, offensive, or infringing content.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

AMcC London Limited shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or music career opportunities.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

8. INDEMNIFICATION

You agree to indemnify and hold AMcC London Limited harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service or your violation of these Terms.

9. GOVERNING LAW & JURISDICTION

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
